                                          Article V
                                   Duties of Officers

Section 1.  The President shall preside at all meetings of the Association.  The President may call special meetings of the Association whenever the President deems meetings necessary or advisable.  Subject to the approval of the Executive Committee, the President must appoint an Audit Committee, excluding Officers of the Association, to audit the records of the Treasurer.  The appointment of the Audit Committee shall be announced at the annual meeting and the report of the Audit Committee must be made to the membership not later than the regular August meeting of the following year.  The President shall perform other duties ordinarily incident to the office of President.

Section 2.  The Vice President shall perform the duties of the President when the President is absent or incapacitated, or otherwise unable to perform the duties of the office.

Section 3.  The Secretary shall notify the membership of the time and place of all meetings; take minutes of all business meetings; handle correspondence for and on behalf of the Association; keep an active register of membership showing names addresses and companies represented; and perform all other duties ordinarily incident of the office of Secretary.

Section 4.  The Treasurer shall collect and be the custodian of the dues and any assessments voted by the membership; disburse the funds in accordance with the direction of the vote of the Executive Committee or membership report on the finance of the Association whenever requested by the Executive Committee or membership; and perform all other duties ordinarily incident to the office of the Treasurer.

Section 5.  In the event of the termination of any officer, for any reason, the replacement shall be made by the Executive Committee for the unexpired term.  The replacement shall be made effective at the next regular meeting.

Section 6.  Upon the written request of any member of the Association, the Grievance Committee shall consider the suggestion that an Officer be removed from office.  The findings of the Grievance Committee shall be brought  to the Executive Committee.  Upon a two-thirds vote of the Executive Committee members, the facts shall be presented to the membership at large at the next regular meeting for a vote.  Upon a two-thirds vote of the membership present and voting the officer shall be removed from office, relinquishing all duties and responsibilities immediately.
